Two reviews so far.
IGN gave it a "Must Read", their equivalent to 4 stars. Newsarama's "Best Shots" was also very positive.

How does this fit in with the New Avengers, time-wise? Wolvie smelling Cap on the heli-carrier and saying that it really is him makes me thinik it would be taking place after NA 28. But the issue doesn't FEEL like it occurs later than that. It feels like it almost immediately after his shooting.
My opinion is just sorta so/so about this run. I feel sort of over-innundated with titles and sorta under-impressed with plot.

I'd say it takes post "Captain America" # 25 and pre-"Civil War: The Intiative" and "New Avengers" # 28. It feels very fresh to me. Cap's obviously been dead for at least a day or two.
That being said, I found this issue to be pretty underwhelming as well. Peter David did a much better job with the concept of denial in "X-Factor." I like that Wolverine has a role to play here, for my reasons above but . . . what was the point of this story? "Cap really is dead." Okay.
But why doesn't he mention it when the New Avengers have their meeting?
Something tells me that a memo was missed.

Agree. I liked Daredevil's involvment, and Wolverine saying that he could take on Iron Man, YellowJacket and a SHIELD team all together ( ;D), but the issue felt rather pointless overall. Not sure about the continuity though, Tony says something like "[Dr Strange] should stop doing this", I thought it was a reference to the last NA.
